The terms that govern your use of Wabel's products and services.

1. Introduction and Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the website, platform, applications, APIs, and services provided by Wabel Information Technology Company ("Wabel", "we", "us", or "our"), including our AI-powered voice, WhatsApp, chat, automation, and related services (collectively, the "Service"). Wabel provides the Service primarily to businesses and organizations. By accessing or using the Service, creating an account, purchasing a subscription, or otherwise using any part of the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Definitions

For purposes of these Terms: "Account" means an account created to access and use the Service. "Customer" means the company, organization, or legal entity that subscribes to or uses the Service. "Customer Data" means data, content, information, documents, messages, recordings, transcripts, configurations, or other materials submitted to or processed through the Service by or on behalf of a Customer. "End User" means an individual who interacts with a Customer through the Service, including a person who receives or makes an AI-powered telephone call or communicates through WhatsApp or chat. "Service" means Wabel's website, platform, AI-powered communication services, software, APIs, and related functionality. "Subscription" means the paid access to the Service under a subscription or other commercial arrangement.

3. Eligibility and Business Use

The Service is intended for businesses and professional users. You must have the legal capacity and authority to enter into these Terms. You may not use the Service if doing so would violate applicable laws or regulations. By using the Service, you represent that the information you provide to Wabel is accurate, complete, and current.

4. Wabel Services

Wabel provides technology that enables Customers to configure and operate AI-powered communication workflows, including voice calls, WhatsApp communications, chat, automation, and related features. The specific features available to a Customer may depend on the Customer's subscription, configuration, plan, integrations, and other commercial arrangements. Wabel may modify, update, add, or discontinue features of the Service from time to time. We will make reasonable efforts to ensure that material changes do not materially impair the core functionality of the Service during an active subscription, except where changes are required for security, legal, technical, or operational reasons.

5. Accounts and Account Security

You may be required to create an Account to access certain features of the Service. You are responsible for:

  • Providing accurate and current account information
  • Maintaining the confidentiality of your login credentials
  • Restricting unauthorized access to your Account
  • All activity occurring under your Account
  • Promptly notifying Wabel of any unauthorized access or suspected security incident

You must not share your credentials with unauthorized individuals or allow another person to use your Account in a manner that violates these Terms. Where Customers provide access to employees, contractors, or other users, the Customer is responsible for managing their permissions and activities.

6. Customer Responsibilities

You are responsible for your use of the Service and for all instructions, configurations, content, and data submitted through your Account. You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, industry requirements, and third-party rights. This includes, where applicable, ensuring that you have the necessary legal basis, notices, consents, permissions, or other authorizations required to:

  • Contact individuals through automated or AI-powered calls
  • Record or monitor telephone conversations
  • Process call recordings or transcripts
  • Send WhatsApp messages
  • Send chat or other electronic communications
  • Collect and process personal data
  • Use personal data or other content provided to Wabel

7. AI Services and Automated Communications

Wabel uses artificial intelligence and automated technologies to provide certain features of the Service. You acknowledge that AI-generated outputs, responses, transcripts, summaries, classifications, recommendations, and other results may contain errors, omissions, inaccuracies, or unexpected results. You are responsible for reviewing and validating AI-generated outputs where appropriate before relying on them for material business, legal, financial, medical, employment, or other consequential decisions. Wabel does not guarantee that AI-generated outputs will always be accurate, complete, appropriate, or suitable for a particular purpose. Customers remain responsible for determining how the Service is configured and used and for reviewing the results produced by the Service where necessary.

8. Calls, Recordings and Communications

The Service may enable Customers to make or receive automated telephone calls and to record and transcribe such calls. Customers are solely responsible for determining whether and how such calls may legally be made, recorded, transcribed, monitored, or analyzed. Customers must comply with all applicable requirements relating to telecommunications, privacy, data protection, direct marketing, consumer protection, call recording, consent, disclosure, and communications. Where required, Customers must provide appropriate notice to individuals interacting with an AI agent and obtain any required consent before recording or processing communications. Wabel does not guarantee that a Customer's use of the Service will comply with the laws applicable to that Customer, its industry, or the individuals it contacts.

9. Customer Content and Data

You retain your rights in Customer Data that you submit to or process through the Service. You grant Wabel a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, process, and otherwise use Customer Data solely to the extent necessary to provide, maintain, secure, and improve the Service, comply with applicable law, and perform our obligations under our agreement with you. You represent and warrant that you have all rights, permissions, and legal bases necessary for Wabel to process Customer Data as contemplated by these Terms. Wabel does not claim ownership of Customer Data solely because it is processed through the Service.

10. Prohibited Uses

You may not use the Service to:

  • Violate any applicable law or regulation
  • Infringe the rights of another person or entity
  • Impersonate another person or entity
  • Send unlawful, fraudulent, deceptive, abusive, threatening, defamatory, or harmful communications
  • Conduct unauthorized or unlawful spam or solicitation
  • Upload or transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service or another user's account
  • Interfere with or disrupt the operation or security of the Service
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except where expressly permitted by applicable law
  • Circumvent usage limits, security controls, or access restrictions
  • Use the Service to build a substantially similar competing service through unauthorized means
  • Use the Service in a way that may cause material harm to Wabel, its infrastructure, service providers, or other users
  • Use the Service for any purpose prohibited by applicable law

11. Third-Party Services and White-Label Technology

Certain components of the Service may be provided, hosted, or supported by third-party technology providers. Wabel currently uses DataQueue as its underlying white-label technology provider. The availability and operation of certain features may therefore depend on third-party systems, infrastructure, telecommunications providers, artificial intelligence technologies, or other services. Third-party services may be subject to their own terms, policies, limitations, and availability. Wabel is not responsible for failures, interruptions, or changes in third-party services to the extent they are outside Wabel's reasonable control.

12. Subscriptions, Fees and Payment

Access to certain features of the Service may require a paid Subscription. The applicable Subscription fees, usage charges, credits, billing cycle, included usage, and other commercial terms will be communicated to you at the time of purchase or in your applicable order or agreement. Unless otherwise agreed in writing, fees are payable according to the applicable billing arrangement. You are responsible for providing accurate and complete billing information and maintaining a valid payment method where required. All fees are exclusive of applicable taxes unless expressly stated otherwise. You are responsible for any taxes, duties, or governmental charges applicable to your purchase, except for taxes imposed on Wabel's net income.

13. Subscription Renewal and Cancellation

Where a Subscription automatically renews, it will renew according to the applicable subscription terms unless canceled before the applicable renewal date. You may request cancellation of your Subscription in accordance with the cancellation terms applicable to your plan or commercial agreement. Unless otherwise stated in your agreement or required by applicable law, cancellation will not entitle you to a refund of fees already paid for the current billing period. Wabel may suspend or terminate access where fees remain unpaid, subject to applicable contractual and legal requirements.

14. Intellectual Property

The Service, including its software, design, interface, features, functionality, trademarks, branding, documentation, and other original materials, is owned by Wabel or its licensors and is protected by applicable intellectual property laws. Except for the limited rights expressly granted under these Terms, no rights or ownership in the Service are transferred to you. You may not copy, reproduce, modify, distribute, sell, lease, sublicense, reverse engineer, or otherwise exploit any part of the Service except as expressly permitted by these Terms or applicable law.

15. Feedback

If you provide suggestions, ideas, feedback, or recommendations regarding the Service, you grant Wabel the right to use such feedback without restriction and without compensation to you, provided that such use does not disclose your confidential information or Customer Data.

16. Service Availability

We aim to provide a reliable Service, but we do not guarantee that the Service will always be available, uninterrupted, secure, or error-free. The Service may occasionally be unavailable due to maintenance, upgrades, technical issues, telecommunications failures, third-party service interruptions, security incidents, or circumstances beyond our reasonable control. Nothing in these Terms limits any service-level commitments expressly agreed in writing between Wabel and a Customer.

17. Suspension and Termination

Wabel may suspend or terminate your access to the Service if:

  • You materially breach these Terms
  • You fail to pay applicable fees
  • Your use of the Service creates a security, legal, or operational risk
  • You use the Service for unlawful or prohibited purposes
  • Suspension is required by law or by a competent authority
  • Continued access could materially harm Wabel, its service providers, or other users

Where reasonably practicable, Wabel may provide notice before suspension or termination, except where immediate action is reasonably necessary. You may terminate your use of the Service in accordance with your applicable subscription or commercial agreement.

18. Effect of Termination

Upon termination or expiration of your right to use the Service, your access to the Service may cease. Customer Data will be handled following termination in accordance with the applicable agreement, our Privacy Policy, and applicable law. You are responsible for maintaining appropriate copies of Customer Data that you require for your business, subject to any data export or retention commitments expressly agreed with Wabel. Certain provisions of these Terms that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution.

19. Confidentiality

Each party agrees to protect confidential information received from the other party and to use such information only for purposes related to the applicable business relationship. Confidential information does not include information that is publicly available without breach of these Terms, was lawfully known before disclosure, is independently developed, or is lawfully received from a third party without confidentiality obligations.

20. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. Wabel does not warrant that:

  • The Service will always be uninterrupted or error-free
  • The Service will meet every Customer requirement
  • AI-generated outputs will always be accurate or complete
  • The Service will achieve a particular business result
  • All telecommunications or third-party services will remain continuously available
  • Any errors or defects will always be corrected

The Service is a technology tool and does not constitute legal, financial, medical, employment, or other professional advice.

21. Limitation of Liability

To the maximum extent permitted by applicable law, Wabel and its affiliates, licensors, service providers, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data, arising out of or related to your use of, or inability to use, the Service. To the maximum extent permitted by applicable law, Wabel's aggregate liability arising out of or relating to the Service or these Terms will not exceed the fees actually paid by the Customer to Wabel for the Service during the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

22. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Wabel, its affiliates, licensors, service providers, officers, employees, and agents from claims, liabilities, damages, losses, and reasonable expenses arising out of or relating to:

  • Your breach of these Terms
  • Your Customer Data or content
  • Your unlawful or unauthorized use of the Service
  • Your violation of applicable laws or third-party rights
  • Your failure to obtain required permissions or consents for communications, recordings, or processing of personal data

The Service may contain links to or integrations with third-party websites, applications, platforms, or services. Wabel does not control and is not responsible for the content, availability, security, or privacy practices of third-party services. Your use of third-party services may be subject to separate terms and privacy policies.

24. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia, without regard to conflict-of-law principles. If a dispute arises between you and Wabel in connection with the Service or these Terms, the parties will first attempt to resolve the dispute amicably through good-faith discussions. If the dispute cannot be resolved amicably, it shall be submitted to the competent courts in the Kingdom of Saudi Arabia, unless the parties have agreed otherwise in a written agreement.

25. Changes to These Terms

We may update or modify these Terms from time to time to reflect changes to the Service, our business, applicable laws, or other relevant circumstances. When we make material changes, we may provide reasonable notice through the Service, by email, or by updating the date at the top of these Terms, where appropriate. Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

26. Severability and Waiver

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be modified or interpreted to the extent necessary to make it enforceable, and the remaining provisions will remain in effect. Our failure to enforce any provision of these Terms will not constitute a waiver of our right to enforce that provision or any other provision in the future.

27. Entire Agreement

These Terms, together with our Privacy Policy and any applicable order form, subscription agreement, service agreement, or other written agreement between Wabel and the Customer, constitute the agreement governing your use of the Service. If there is a conflict between these Terms and a separately executed written agreement between Wabel and the Customer, the separately executed agreement will control to the extent of the conflict.
